EMPLOYMENT AGREEMENT

7. NONDISCLOSURE OF INFORMATION CONCERNING BUSINESS

Employee will not at any time, in any fashion, form, or manner, either directly or indirectly divulge, disclose, or communicate to any person, firm, or corporation in any manner whatsoever any information of any kind, nature, or description concerning any matters affecting or relating to the business of employer, including, without limitation, the names of any its customers, the prices it obtains or has obtained, or at which it sells or has sold its products, or any other information concerning the business of employer, its manner of operation, or its plans, processes, or other date of any kind, nature, or description without regard to whether any or all of the foregoing matters would be deemed confidential, material, or important. The parties hereby stipulate that, as between them, the foregoing matters are important, material, and confidential, and gravely affect the effective and successful conduct of the business of employer, and its good will, and that any breach of the terms of this section is a material breach of this agreement.

8. OPTION TO TERMINATE ON PERMANENT DISABILITY OF EMPLOYEE

Notwithstanding anything in this agreement to the contrary, employer is hereby given the option to terminate this agreement in the event that during the term hereof employee shall become permanently disabled, as the term "permanently disabled" is hereinafter fixed and defined. Such option shall be exercised by employer giving notice to employee by registered mail, addressed to him in care of employer at the above stated address, or at such other address as employee shall designate in writing, of its intention to terminate this agreement on the last day of the month during which such notice is mailed. On the giving of such notice this agreement and the term hereof shall cease and come to an end on the last day of the month in which the notice is mailed, with the same force and effect as if such last day of the month were the date originally set forth as the termination date. For purposes of this agreement, employee shall be deemed to have become permanently disabled if, during any year of the term hereof, because of ill health, physical or mental disability, or for other causes beyond his control, he shall have been continuously unable or unwilling or have failed to perform his duties hereunder for thirty (30) consecutive days, or if, during any year of the term hereof, he shall have been unable or unwilling or have failed to perform his duties for a total period of thirty (30) days, whether consecutive or not. For the purposes hereof, the term "any year of the term hereof" is defined to mean any period of 12 calendar months commencing on the first day of _____(18)______ and terminating on the last day of ____(19)_____ of the following year during the term hereof.

9. DISCONTINUANCE OF BUSINESS AS TERMINATION OF EMPLOYMENT

Anything herein contained to the contrary notwithstanding, in the event that employer shall discontinue operations at the premises mentioned above, then this agreement shall cease and terminate as of the last day of the month in which operations cease with the same force and effect as if such last day of the month were originally set forth as the termination date hereof.

10. EMPLOYEE'S COMMITMENTS BINDING ON EMPLOYER ONLY ON WRITTEN CONSENT

Employee shall not have the right to make any contracts or other commitments for or on behalf of employer within the written consent of employer.

11. CONTRACT TERMS TO BE EXCLUSIVE

This written agreement contains the sole and entire agreement between the parties, and supersedes any and all other agreements between them. The parties acknowledge and agree that neither of them has made any representation with respect to the subject matter of this agreement or any representations inducing the execution and delivery hereof except such representations as are specifically set forth herein, and each party acknowledges that he or it has relied on his or its own judgment in entering into the agreement. The parties further acknowledge that any statements or representations that may have heretofore been made by either of them to the other are void and of no effect and that neither of them has relied thereon in connection with his or its dealings with the other.

12. WAIVER OR MODIFICATION INEFFECTIVE UNLESS IN WRITING

No waiver or modification of this agreement or of any covenant, condition, or limitation herein contained shall be valid unless in writing and duly executed by the party to be charged therewith. Furthermore, no evidence of any waiver or modification shall be offered or received in evidence in any proceeding, arbitration, or litigation between the parties arising out of or affecting this agreement, or the rights or obligations of any party hereunder, unless such waiver or modification is in writing, duly executed as aforesaid. The provisions of this paragraph may not be waived except as herein set forth.

13. CONTRACT GOVERNED BY LAW

This agreement and performance hereunder and all suits and special proceedings hereunder shall be construed in accordance with the laws of the State of _______(20)_______.

14. BINDING EFFECT OF AGREEMENT

This agreement shall be binding on and inure to the benefit of the respective parties and their respective heirs, legal representatives, successors, and assigns.

7. LARANGAN PENGUNGKAPAN INFORMASI MENGENAI BISNIS

Pihak kedua tidak boleh kapanpun, dalam setiap cara, bentuk, atau metode, baik secara langsung ataupun tidak langsung membocorkan, mengungkapkan, atau memberitahu kepada siapapun, badan usaha, atau perusahaan dengan cara apapun pada setiap informasi apapun mengenai jenis, sifat, atau penjabaran mengenai segala hal yang mempengaruhi atau berhubungan dengan bisnis pihak pertama yang dimaksud, yang tidak terbatas, nama setiap pelanggan, harga yang berubah atau telah ditetapkan, atau dimana pihak pertama senantiasa menjual atau telah menjual produk-produknya, atau informasi apapun mengenai bisnis pihak pertama, cara bisnis mengoperasikan, atau rencana bisnis, proses-proses, atau data jenis lainnya, bentuk asli, atau penjabaran tanpa memperhatikan apakah salah satu atau semua hal-hal yang disebut diatas akan dianggap rahasia, berharga atau penting. Kedua pihak dengan ini menyetujui bahwa, diantara kedua pihak, hal-hal tersebut yang penting diatas, berharga, dan rahasia, dan dengan serius mulai mempengaruhi dan mensukseskan perusahaan demi keberlangsungan bisnis pihak pertama, dan menjadi itikat baik, dan bahwa setiap pelanggaran pada ketentuan-ketentuan atau syarat-syarat ini adalah sebuah niat baik pada kesepakatan ini.

8. PILIHAN UNTUK MENGAKHIRI DALAM CACAT SEUMUR HIDUP PADA PIHAK KEDUA

Tidak menahan apapun dalam perjanjian ini yang bertentangan, pihak pertama dengan ini memberikan pilihan untuk mengakhiri perjanjian ini dalam hal bahwa selama jangka waktu syarat-syarat tersebut pihak kedua akan menjadi cacat seumur hidup, dalam istilah "secara permanen dinonaktifkan" adalah selanjutnya tetap dan didefinisikan. Pilihan tersebut akan dilaksanakan oleh pihak pertama dalam pemberitahuan pada pihak kedua melalui surat
majikan memberikan pemberitahuan kepada karyawan dengan pos tercatat, ditujukan kepada dia mengurus majikan di alamat dinyatakan di atas, atau di seperti alamat lain sebagai karyawan akan menetapkan dalam menulis, niatnya untuk mengakhiri perjanjian ini pada hari terakhir bulan selama pemberitahuan tersebut dikirimkan. Memberikan pemberitahuan tersebut pada kesepakatan ini dan syarat tersebut akan berhenti dan istilah perjanjian akan berhenti dan datang berakhir pada hari terakhir bulan di mana pemberitahuan dikirimkan, dengan kekuatan dan efek yang sama seolah-olah seperti hari terakhir bulan tanggal awalnya ditetapkan sebagai tanggal penghentian. Tujuan dari kesepakatan  ini, pihak kedua akan dianggap secara permanen telah dinonaktifkan, selama  setiap tahun dari persyaratan tersebut, dikarenakan  kesehatannya memburuk, cacat fisik atau cacat mental, atau penyebab lain luar kedalinya, pihak kedua akan secara  terus-menerus tidak mampu atau tidak bersedia  atau telah gagal  melaksanakan  tugas-tugasnya ini selama tiga puluh (30) hari berturut-turut, atau jika,  setiap tahun selama  persyaratan tersebut, pihak kedua tidak mampu atau tidak bersedia  atau telah gagal untuk melakukan tugas-tugasnya dalam  jangka waktu total tiga puluh (30) hari, baik berturut-turut ataupun tidak. Tujuan-tujuan  dari kesepakatan ini , persyaratan “ setiap tahun persyaratan tersebut “ ditetapkan yaitu setiap jangka waktu 12 bulan dikalender terhitung sejak hari______ (18) dan berakhir  pada hari _______ (19) tahun berikutnya selama masa kesepakatan tersebut.

9. PEMUTUSAN DARI BISNIS SEBAGAI PENGHENTIAN KERJA

Apapun isi  yang terkandung disini yang bertentangan sekalipun, dalam hal tersebut pihak pertama akan menghentikan operasi-operasi  ditempat yang disebutkan d atas, maka erjanjian ini akan berhenti dan berakhiri pada  hari terakhir bulan dimana pengoperasian-pengoperasian berhenti dengan kekuatan yang sama dan efek yang sama seolah seperti hari terakhir bulan yang awalnya ditetapkan sebagai tanggal penghentian hal tersebut.

10. KOMITMEN PIHAK KEDUA TERIKAT PADA PIHAK PERTAMA HANYA DALAM PERSETUJUAN TERTULIS

Pihak kedua  tidak memiliki hak untuk membuat ketentuan atau komitmen lain apapun atau atas nama pihak pertama tanpa persetujuan tertulis dari pihak pertama.

11. SYARAT-SYARAT KONTRAK DISERTAI DENGAN HAL YANG LAIN

Perjanjian tertulis ini berisi perjanjian tunggal atau menyeluruh antara kedua pihak, setiap penggantian-penggantian dan semua perjanjian-perjanjian lain antara kedua pihak. Para pihak mengetahui dan berjanji bahwa baik dari kedua belah pihak telah membuat seuah pernyataan-pernyataan sehubungan dengan segala hal pada perjanjian ini atau setiap pernyataan-pernyataan yang mendorong terjadinyapelaksanaan dan penyampaian perjanjian hal tersebut kecuali seperti pernyataan-pernyataan yang secara khusus telah diatur atau ditetapkan didalamnya, dan masing-masing pihak mengetahui bahwa pihak kedua atau telah memiliki kepercayaan dari pihak pertama atau penilaian sendiri dalam menandatangani perjanjian. Para pihak juga mengetahui bahwa setiap pernyataan-pernyataan atau representasi-representasi  yang mungkin sampai sekarang telah dibuat oleh salah satu dari kedua pihak lain yang berlaku dan tidak berpengaruh dan bahwa tidak  satupun dari kedua pihak telah mempercayainya yang sehubungan dengan pihak kedua di atas atau hal-hal yang berurusan dengan yang lainnya.

12. PENGAPUSAN ATAU PERUBAHAN YANG TIDAK BERGUNA KECUALI YANG TERTULIS

Tidak ada pelepasan atau perubahan dari kesepakatan ini atau setiap perjanjian, kondisi, atau batasan yang tercantum dalam undang-undang ini akan berlaku secara tertulis dan ditandatangani oleh pihak yang dikenakan dengan itu.Selanjutnya, tidak ada bukti adanya pelepasan atau perubahan yang akan ditawarkan atau diterima sebagai bukti dalam setiap pendapat, keputusan atau perkara antara pihak-pihak yang timbul dari atau mempengaruhi kesepakatan ini, atau hak-hak, atau kewajiban-kewajiban dari setiap pihak dibawah ini, kecuali ada pelepasan atau perubahan ini secara tertulis, sebagaimana dilaksanakan disebut diatas. Ketentuan-ketentuan dalam ayat ini tidak bisa dicabut kecuali seperti yang telah ditetapkan dalam perjanjian.

13. HUKUM YANG BERLAKU

Kesepakatan ini dan kinerja ini selanjutnya akan ditafsirkan sesuai dengan hukum di negara bagian ______(20)______.

14. PENGIKATAN MEMPENGARUHI PADA KESEPAKATAN

Kesepakatan ini akan terikat pada dan dapat dipakai untuk keuntungan  pada pihak ahli waris masing-masing dan perwakilan hukum masing-masing, undang-undang yang mewakili, penggantinya dan penerima haknya.

Pihak kedua harus menerima juga dan pelayanan-pelayanan yang tidak ada hubungannya dan yang tidak berkaitan dengan tugas utama atau sebagaimana mungkin ditugaskan kepada pihak pertama.

3. TATA CARA PELAKSANAAN TUGAS-TUGAS PIHAK KEDUA
Pihak kedua akan selalu setia, tekun, dan sesuai kemampuan, pengalaman , dan bakatnya, melakukan tugas-tugas yang munkin dibutuhkan dirinya dengan mematuhi syarat-syarat yang tersurat dan tersirat didalam perjanjian ini, yang memuaskan pihak pertama. Seperti tugas-tugas yang akan diterima dikantor yang disebutkan diatas dan di tempat-tempat lainnya sebagaimana yang pihak pertama meminta dengan baik atau demi kepentingan-kepentingan, kebutuhan-kebutuhan, usaha, dan kesempatan-kesempatan yang pihak pertama akan meminta atau menganjurkannya.

4. JANGKA WAKTU PEKERJA

Pihak pertama harus tekun, perhatian, pengetahuan, dan sedikit trampil dan hanya untuk kepentingan usaha-usaha dan kepentingan-kepentingan pihak pertama, dan pihak pertama berhak untuk menerima pendapatan-pendapatan, penghasialan-penghasilan, keuntungan-keuntungan, atau penghasilan-pengsilan lainnya atau suatu transaksi dan lain-lain, layanan-layanan, dan penyemangat pihak kedua. Pihak kedua tidak boleh meragukan persetujuan-persetujuan persyaratan ia pada ketidak tertarikan dalam hal tersebut, secara langsung ataupun tidak langsung, bentuk lainnya, penampilan atau prilaku sebagai rekan kerja, teman kantor, direktur, pemegang saham, penasihat, pekerja atau dalam bentuk kapasitas yang lain, usaha yang serupa dengan usaha pihak pertama atau suatu perdagangan, kecuali tidak ada isi yang tercantum didalam undang-undang untuk pencegahan atau membatasi pihak kedua untuk berinvestasi atau membatasi hak karyawan untuk berinvestasi, surplus dana di modal saham atau dari setiap perusahaan atau pengamanannya tersebut milik publik atau secara teratur diperdagangkan di bursa, publik apapun didalam undang-undang ini yang terkandung dianggap untuk mencegah karyawan berinvestasi atau membatasi karyawan untuk berinvestasi , surplus dana dengan perumahan mewah .

Employee expressly agrees that during the term hereof he will not be interested, directly or indirectly, in any form, fashion, or manner, as partner, officer, director, stockholder, advisor, employee, or in any other form or capacity, in any other business similar to employer's business or any allied trade, except that nothing herein contained shall be deemed to prevent or limit the right of employee to invest any of his surplus funds in the capital stock or other securities of any corporation whose stock or securities are publicly owned or are regularly traded on any public exchange, nor shall anything herein contained by deemed to prevent employee from investing or limit employee's right to invest his surplus funds in real estate.
